1. Acceptance of Terms
By accessing or using Shop Manager (“Platform”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, discontinue use of the Platform.
2. Accounts & Responsibilities
- Provide accurate, complete registration details and keep them up to date.
- Safeguard your credentials; activities under your account are your responsibility.
- We may suspend/terminate accounts for breach, fraud, or misuse.
3. Services & Availability
We strive for reliable service but do not guarantee uninterrupted availability; maintenance and outages may occur.
4. Subscription, Payments & Taxes
- Paid features are offered on subscription plans shown in the app.
- Prices are exclusive of applicable taxes (e.g., GST).
- You authorize recurring billing until you disable renewal.
5. Cancellations & Refunds
There will not be any cancellations or refunds once a plan is activated. You may turn off auto-renewal before the next billing cycle to avoid future charges.
6. Permitted Use
- Use only for lawful business purposes; comply with applicable laws.
- Do not copy, modify, reverse engineer, or disrupt the Platform or systems.
- Do not upload malicious code or infringe third-party rights.
7. Your Content & Data
- You own the data you upload; you grant us a limited license to process it to operate and improve the Platform.
- You are responsible for obtaining necessary consents and processing data lawfully.
8. Intellectual Property
All software, design, and branding are owned by us or our licensors; no rights are granted except as expressly stated.
9. Third-Party Services
Integrations (e.g., payment gateways) are subject to their terms and privacy notices. We are not responsible for third-party actions.
10. Disclaimers
The Platform is provided “as is” and “as available,” without warranties of any kind, including merchantability, fitness, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential damages; our aggregate liability is capped at fees paid in the preceding three (3) months.
12. Indemnity
You agree to indemnify us against claims arising from your use or breach of these Terms.
13. Termination
We may suspend or terminate access for breach, legal requirement, or platform risk. Sections 5, 8, and 10–12 survive termination.
14. Changes
We may update these Terms periodically. Continued use after updates constitutes acceptance.
15. Governing Law & Dispute Resolution
These Terms are governed by Indian law. Courts in Bengaluru, Karnataka have exclusive jurisdiction.
